1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and HireScan ("we," "our," or "us") governing your access to and use of our resume analysis service, including our website at hirescan.app and all related services (collectively, the "Service").
By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Service Description
HireScan provides an AI-powered resume analysis service that evaluates resumes against job descriptions and provides feedback and recommendations. The Service uses artificial intelligence and natural language processing technologies to analyze resume content and generate insights.
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
3. Eligibility
You must be at least 18 years old to access or use our Service. By accessing or using our Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
4. User Accounts
Some features of the Service may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to maintain the security of your account.
5. User Content
Our Service allows you to upload, submit, store, or transmit content, including resume documents and job descriptions ("User Content"). You retain all rights to your User Content, but you grant us a non-exclusive, royalty-free, worldwide license to use, store, and process your User Content for the purpose of providing and improving our Service.
You represent and warrant that:
- You own or have the necessary rights to your User Content and have the right to grant the license described above.
- Your User Content does not violate the privacy rights, publicity rights, copyright, contractual rights, or any other rights of any person or entity.
- Your User Content does not contain any material that is false, defamatory, misleading, or otherwise unlawful.
We reserve the right to remove any User Content that violates these Terms or that we determine is harmful, offensive, or otherwise objectionable.
6. Prohibited Uses
You agree not to use the Service:
- In any way that violates any applicable federal, state, local, or international law or regulation.
- To transmit any material that contains viruses, trojan horses, worms, or any other malicious or harmful code.
- To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.
- To impose an unreasonable or disproportionately large load on our infrastructure.
- To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service.
- To use the Service for any purpose other than its intended purpose of resume analysis.
7. Intellectual Property Rights
The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by HireScan, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
These Terms do not grant you any right, title, or interest in the Service or the content available through the Service, other than the limited right to use the Service in accordance with these Terms.
8. Limitation of Liability
To the maximum extent permitted by law, in no event will HireScan, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Service, including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable.
We do not guarantee that the information provided by our AI analysis is accurate, complete, or useful. You acknowledge that the quality of resume analysis depends on the quality and accuracy of the information you provide.
9. Indemnification
You agree to defend, indemnify, and hold harmless HireScan, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.
10. Changes to the Service and Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of significant changes to the Terms by posting the updated Terms on our website with a "Last Updated" date at the top. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
We may also update, modify, or discontinue the Service or any features or functionality of the Service at any time without prior notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.
11. Termination
We may terminate or suspend your access to all or part of the Service, without notice, for any reason, including without limitation, breach of these Terms. Upon termination, your right to use the Service will immediately cease.
All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
12. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Province of Quebec, Canada, without giving effect to any choice or conflict of law provision or rule.
Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the courts located in Montreal, Quebec, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant jurisdiction.
13. Miscellaneous
Waiver: No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the intent of the provision. If such modification is not possible, the provision shall be severed from these Terms without affecting the validity and enforceability of any remaining provisions.
Entire Agreement: These Terms, together with our Privacy Policy, constitute the sole and entire agreement between you and HireScan with respect to the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Service.
